Facility Terms of Service

These Facility Terms of Service ("Facility Terms") govern your access to and use of PlayKorte's platform as a Facility. These Facility Terms are in addition to PlayKorte's general Terms & Conditions, which are incorporated by reference.
By registering as a Facility on PlayKorte, you agree to be bound by these Facility Terms. If you do not agree, do not register or use the Platform as a Facility.
1. Definitions
- "Facility" means any operator of sports courts or venues that registers to list courts and accept bookings through the Platform.
- "Platform" means PlayKorte's website, applications, and services.
- "Player" means any individual who uses the Platform to search for and book court time.
- "PlayKorte," "we," "us," or "our" means PlayKorte and its officers, directors, employees, and agents.
- "Sub-Merchant Account" means the PayMongo child merchant profile created for the Facility under PlayKorte's PayMongo platform account.
2. Eligibility and Registration
2.1 Eligibility
To register as a Facility, you must:
- Be a legally registered business in the Philippines (DTI for sole proprietors, SEC for corporations or partnerships).
- Have the legal authority to enter into this agreement on behalf of the business.
- Operate a legitimate sports facility with physical courts available for booking.
2.2 Registration and Verification
During registration, you must provide:
- Business registration documents (DTI or SEC certificate).
- Valid government-issued ID of the owner or authorized representative.
- Proof of business address (utility bill, lease agreement, or similar).
- Photographs of the facility and courts.
- Such other documents as PlayKorte may reasonably request.
PlayKorte will manually verify all Facility applications before activation. PlayKorte reserves the right to reject any application at its sole discretion without providing a reason.
2.2.1 PayMongo KYC and Verification
As part of onboarding, Facilities must complete PayMongo's Know Your Customer (KYC) process and maintain their verification in good standing. PayMongo may, from time to time, require additional verification steps, including liveness checks. Facilities must comply with any such verification request within thirty (30) calendar days of notification. Failure to comply may result in temporary deactivation of the Facility's payment account, payout restrictions, or suspension of online payment features until verification is completed.
2.3 Accuracy of Information
You warrant that all information provided during registration and thereafter is accurate, complete, and not misleading. You must notify PlayKorte promptly of any changes to your business information, including but not limited to:
- Business name, ownership, or legal structure.
- Contact information.
- Bank account or payment details.
- Physical location or operating status.
Providing false or misleading information is grounds for immediate termination.
3. Payment Processing
3.1 PayMongo Sub-Merchant Account
As a condition of using the Platform, you must complete PayMongo's Know Your Customer (KYC) process and maintain a Sub-Merchant Account in good standing.
PlayKorte acts as the Master Merchant under PayMongo's marketplace model. Payments from Players are processed through PayMongo, with fees automatically split between PlayKorte and the Facility.
3.2 Fee Structure
PlayKorte currently offers a freemium model:
- Basic Features: Free (real-time availability, hourly bookings, payment processing).
- Premium Features: Paid monthly subscription (open play management, analytics, and other features as introduced).
- Player Booking Fee: Charged to Players on online bookings at the current rate and cap shown on the Platform.
PlayKorte may update fee rates, fee caps, fee-allocation rules, and supported payment rails at any time by posting updated values on the Platform, without prior notice.
3.3 Fund Flow and Payouts
When a Player completes a booking, the payment is processed by PayMongo. Where PlayKorte has activated split payments for the Facility, the Facility's court-fee share is allocated to the Facility's PayMongo Sub-Merchant Account and PlayKorte's booking-fee share is allocated to PlayKorte.
Payout timing, payout destination, and merchant dashboard access are governed by PayMongo's merchant settings, payout schedule, and compliance rules. Facilities are responsible for completing PayMongo onboarding and maintaining their payout destination details in PayMongo.
4. Fund Holds and Offsets
4.1 Investigation Hold
PlayKorte may suspend online payment access, pause Facility approval, or require manual support handling if PlayKorte is investigating:
- A dispute, chargeback, or refund claim.
- Suspected fraud, policy violation, or illegal activity.
- Any other matter that may result in liability to PlayKorte.
4.2 Post-Termination Hold
Upon termination of this agreement (for any reason), PayMongo may continue to apply its own merchant, payout, and reserve rules, and PlayKorte may keep refund or dispute cases open as needed to cover:
- Chargebacks that may be filed after termination.
- Refunds owed to Players.
- Fees, penalties, or amounts owed to PlayKorte.
After the hold period, any remaining balance will be released to the Facility, less any amounts owed.
4.3 Offset Rights
PlayKorte may offset any amounts owed by the Facility (including chargebacks, refunds, fees, or penalties) against:
- Amounts otherwise payable by PlayKorte to the Facility, if any.
- Any reserve or balance treatment available under PayMongo's merchant rules.
If amounts owed exceed amounts otherwise recoverable through PayMongo or the Platform, PlayKorte may invoice the Facility for the balance, payable within fourteen (14) days.
5. Cancellation Policy
Detailed operational rules are also published on the Refund Policy, which is incorporated by reference.
5.1 Platform-Wide Policy
All bookings on PlayKorte are subject to a platform-wide cancellation policy:
- Cancellations 24+ hours before booking: Refund of the court fee only.
- Cancellations within 24 hours: Non-refundable (Player forfeits the court fee).
- No-shows: Non-refundable.
- Booking fee non-refundable on Player-initiated cancellations.
- No cancellations or refunds after start: Once the booking/session start time has passed, PlayKorte cancellation and refund options are not available.
- No partial-time refunds in this release: Partial refunds for unused remaining time after start are not currently supported.
Facilities may not set their own cancellation policies that conflict with this platform-wide policy.
5.2 Facility Cancellations
If a Facility cancels a confirmed paid booking before the booking/session start time for any reason, the Player is entitled to a full refund of the court fee and booking fee. PayMongo processing fees are non-refundable by PayMongo; these will be absorbed as follows:
- If the Facility cancels, the Facility bears the processing fee loss.
- If the Player cancels (within policy), the Player bears the processing fee loss.
- The booking fee refunded to the Player because of Facility cancellation may be charged back to the Facility account or deducted from future Facility payouts.
If the booking/session has already started, Facility-initiated cancellation and refund through PlayKorte are not available.
5.3 Refund Processing
Refunds are processed through PayMongo back to the Player's original payment method when PayMongo and the payment rail support automated refunds. If the responsible merchant account does not have enough refundable balance, or if the rail does not support automated refunds, the refund may require manual resolution between PlayKorte, the Facility, and the Player.
QRPh payments do not currently support automated refunds and may require manual support handling.
6. Facility Responsibilities
6.1 Listing Accuracy
You are solely responsible for the accuracy of your listings, including:
- Court descriptions, amenities, and photos.
- Pricing and operating hours.
- Availability and scheduling.
- House rules and policies.
6.2 Service Quality
You are solely responsible for:
- The quality, safety, and legality of your courts and facilities.
- Compliance with all applicable laws, permits, and regulations.
- On-site customer service and staff conduct.
- Resolving disputes with Players regarding on-site issues.
6.3 Prohibited Activities
You agree not to:
- Accept payments outside of the Platform for bookings made through the Platform.
- Create fake bookings or manipulate availability to extract funds.
- Use the Platform for money laundering, structuring, or any illegal activity.
- Misrepresent your business, ownership, or facilities.
- Accept bookings for services you cannot deliver.
- Violate any applicable law or regulation.
- Operate a business that falls within PayMongo's prohibited or restricted business categories.
7. Chargebacks and Disputes
7.1 Facility Liability
The Facility is responsible for all chargebacks and payment disputes arising from:
- Bookings at the Facility.
- Player complaints about service quality, safety, or misrepresentation.
- Fraud or misconduct by the Facility or its employees.
7.1.1 Dispute Timeline
Payment-related disputes must be raised within fifteen (15) days of the transaction date.
7.2 Cooperation
Upon notice of a chargeback or dispute, the Facility must:
- Provide all requested documentation within five (5) business days.
- Cooperate fully with PlayKorte and PayMongo in resolving the dispute.
7.3 Chargeback Recovery
If a chargeback is resolved against the Facility, PlayKorte may recover the disputed amount plus any fees from the Facility's current or future payouts, or by direct invoice.
8. Indemnification
You agree to indemnify, defend, and hold harmless PlayKorte, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your breach of these Facility Terms or the general Terms & Conditions.
- Your violation of any law or regulation.
- Any dispute between you and any Player or third party.
- Any chargeback, refund, or payment dispute related to your bookings.
- Any fraud, misrepresentation, or misconduct by you or your employees.
- The condition, safety, or operation of your facility.
- Any claim that your facility or services caused injury, loss, or damage to any person.
This indemnification obligation survives termination of this agreement.
9. Limitation of Liability
9.1 Cap on Damages
To the maximum extent permitted by law, PlayKorte's total liability to the Facility for any claim arising out of or relating to the Platform or these Facility Terms shall not exceed the greater of:
- The total fees paid by the Facility to PlayKorte in the twelve (12) months preceding the event giving rise to the claim; or
- Ten thousand Philippine pesos (₱10,000).
9.2 Exclusion of Consequential Damages
In no event shall PlayKorte be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities.
- Loss of data or goodwill.
- Cost of substitute services.
- Business interruption.
This exclusion applies even if PlayKorte has been advised of the possibility of such damages.
9.3 Exceptions
Nothing in these Facility Terms excludes or limits liability for:
- Fraud or intentional misconduct by PlayKorte.
- Any liability that cannot be excluded under applicable law.
10. Term and Termination
10.1 Term
These Facility Terms are effective upon your registration as a Facility and continue until terminated by either party.
10.2 Termination by Facility
You may terminate this agreement at any time by providing thirty (30) days' written notice to PlayKorte at support@playkorte.com. You must honor all confirmed bookings during the notice period.
10.3 Termination by PlayKorte
PlayKorte may terminate or suspend your account:

Immediately, without notice, for:
- Fraud, illegal activity, or misrepresentation.
- Conduct that poses a risk to Players, PlayKorte, or the Platform.
- Violation of PayMongo's terms or policies.
- Direction from PayMongo to suspend the Facility's account due to fraud, compliance violations, high dispute rates, or unethical practices. PlayKorte will notify the Facility within twenty-four (24) hours of any such suspension.

With seven (7) days' notice to cure, for:
- High dispute rate (exceeding 1% of transactions).
- Repeated Player complaints about service quality.

With fourteen (14) days' notice to cure, for:
- Other policy violations not involving fraud or safety.
- Failure to maintain accurate listing information.

With thirty (30) days' notice, for:
- Convenience (no cause required).
10.4 Effect of Termination
Upon termination:
- Your listings will be removed from the Platform.
- You must honor all confirmed bookings made before termination.
- The post-termination fund hold (Section 4.2) will apply.
- Sections 7 (Chargebacks), 8 (Indemnification), 9 (Limitation of Liability), and 11 (Governing Law) survive termination.
11. Governing Law and Jurisdiction
These Facility Terms are governed by and construed in accordance with the laws of the Republic of the Philippines.
Any dispute arising out of or in connection with these Facility Terms shall be submitted to the exclusive jurisdiction of the courts of Dumaguete City, Philippines.
12. Amendments
PlayKorte may update these Facility Terms from time to time. When changes are made:
- The "Last updated" date at the top will be revised.
- Fee-related changes described in Sections 3 and 5 may take effect immediately upon posting on the Platform.
- Your continued use of the Platform after the updated terms take effect constitutes your acceptance.
If you do not agree to the updated terms, you must terminate your account before they take effect.

By registering as a Facility on PlayKorte, you acknowledge that you have read, understood, and agree to be bound by these Facility Terms of Service.
